This Seller Agreement ("Agreement") is entered into between ZorkaLight LLC ("things101," "Platform," "we," or "us"), a Florida limited liability company operating the things101 marketplace at things101.com, and the entity or individual completing the seller onboarding process ("Seller," "Brand," or "you").
By completing the onboarding process, connecting a Stripe account, or listing any product on things101.com, you agree to be bound by this Agreement.
things101 is a small-scale wholesale marketplace operated by ZorkaLight LLC, where brands sell their products directly to consumers at prices below standard retail. Brands ship in small wholesale quantities — typically with a minimum order quantity per product or a minimum spend per brand — while customers receive wholesale pricing and free delivery. ZorkaLight LLC provides technology infrastructure, payment processing facilitation, and marketplace services through things101.com. ZorkaLight LLC is not the seller of record for products listed by Sellers — each Seller is independently responsible for their products, fulfillment, and compliance with applicable law.
To sell on things101 you must:
You agree to provide accurate, current, and complete information during registration and to keep it updated. things101 may suspend or terminate your account if any information is found to be false or misleading.
Each company may operate multiple brands under a single seller account. Creating multiple company accounts for the same legal entity without written permission from things101 is prohibited.
things101 charges a 5% commission on each completed sale (the "Platform Fee"), calculated on the order subtotal (excluding shipping and tax).
things101 passes through the Stripe Tax calculation service fee of $0.50 flat per completed order to the Seller, applied only on orders where things101 collects and remits sales tax in the customer's jurisdiction (i.e., where Stripe Tax performs a tax calculation). Orders shipping to jurisdictions where things101 has no tax registration are not charged this fee. The fee, when applicable, is deducted from the Seller's transfer together with the Platform Fee; on orders containing products from multiple Sellers it is allocated across Sellers in proportion to each Seller's subtotal share, so the total collected across all Sellers equals exactly $0.50.
Stripe payment processing fees are passed through to the Seller at the standard rate of 2.9% + $0.30 per transaction, deducted from the Seller's transfer. The percentage is applied to the full charged amount (including any sales tax collected); on orders containing products from multiple Sellers, the fee is allocated across Sellers in proportion to each Seller's subtotal share. things101 absorbs any difference between this standard rate and Stripe's actual per-charge fees (for example, surcharges for international or premium cards), so the rate charged to the Seller never exceeds the standard rate above.
Payments are processed via Stripe Connect. Upon completion of a transaction:
Sellers may not direct customers to complete purchases outside of the things101 platform for any product listed on things101. This does not restrict Sellers from selling the same products through their own website or other sales channels.
things101 reserves the right to modify fees with 30 days' written notice to active Sellers. Continued use of the platform after the notice period constitutes acceptance of the new fee structure.
Sellers must connect a valid Stripe account via things101's Stripe Connect onboarding flow before listing products or accepting payments. Stripe's own terms of service apply to your Stripe account.
You are solely responsible for maintaining your Stripe account in good standing. things101 is not liable for payment delays, holds, or account restrictions imposed by Stripe.
By connecting a Stripe account, you agree to the Stripe Connected Account Agreement.
All product listings must be accurate, complete, and not misleading. Listings must include:
The following may not be listed on things101:
Sellers are solely responsible for ensuring their products comply with all applicable federal, state, and local laws and regulations, including but not limited to FDA regulations for food and dietary supplements, FTC advertising guidelines, and applicable labeling requirements.
things101 reserves the right to remove or suspend any listing at any time for any reason, including but not limited to policy violations, customer complaints, or legal risk.
Products listed on things101 must have a wholesale price (WSP) at least 10% below the manufacturer's suggested retail price (MSRP) for the same product. This minimum discount is enforced at product activation — listings that do not meet it cannot be made active on the marketplace. things101 is a wholesale channel; customers expect pricing that reflects a wholesale discount relative to other sales channels. things101 reserves the right to remove listings whose pricing does not reflect a meaningful discount relative to typical retail prices, and to raise this minimum discount threshold with 30 days' written notice.
Seller represents that the MSRP listed for each product on things101 is the same MSRP at which Seller offers the product to retail customers on Seller's own website and other direct-to-consumer channels. Short-term, publicly advertised promotions on Seller's own channels (e.g., site-wide sales, holiday discounts) do not breach this Section, provided the reference MSRP remains consistent. things101 may remove listings or suspend accounts where the MSRP on things101 materially exceeds the price at which the product is generally available to retail customers elsewhere.
Sellers are responsible for fulfilling all confirmed orders accurately and on time. Orders must be shipped within the delivery timeframe the Seller has set on their brand profile (the "Delivery Time," required at brand creation under Section 6.1) and displayed to customers on the brand page, product pages, basket, and checkout.
Sellers must provide valid tracking information for all shipped orders via the things101 platform within 24 hours of shipment.
All orders on things101 ship free to customers. Sellers are responsible for factoring their shipping costs into their product pricing. things101 does not collect or remit shipping fees on behalf of Sellers.
Failure to fulfill orders in a timely and accurate manner may result in account suspension, required refunds, or termination of this Agreement.
things101 operates as a marketplace facilitator and, where required by law, collects and remits sales tax on behalf of Sellers in states where things101 is registered. The $0.50 flat Stripe Tax fee passthrough (Section 4.2) covers the cost of this service.
Under marketplace facilitator laws applicable in most US states, Sellers are not responsible for collecting or remitting sales tax on sales made through the things101 platform — that obligation rests with things101. In states where things101 has not yet established nexus and is not required by law to collect tax, no sales tax will be collected at checkout, and neither party has a collection obligation under applicable law until nexus thresholds are met. Sellers remain solely responsible for sales tax obligations arising from sales made through their own direct channels outside of things101.
Sellers must provide accurate tax identification information as required by Stripe and applicable law. Stripe will issue 1099-K forms where required.
Sellers must honor refund requests submitted through the things101 platform in accordance with Section 6 of the things101 Terms of Service, as updated from time to time.
Customers may submit refund requests through the platform. Sellers have the right to approve or decline requests. Declined requests may be escalated to things101 for review.
Refunds are fee-inclusive for Sellers: when an order (or part of one) is refunded, the amount recovered from the Seller is proportional to the net transfer the Seller received after the deductions in Sections 4.1–4.3, and never exceeds it. The Seller therefore does not bear the Platform Fee or fee passthroughs on refunded amounts; Stripe's underlying non-refundable costs on refunded transactions are absorbed by things101.
things101 reserves the right to issue refunds to customers on behalf of Sellers in cases of non-fulfillment, significant product misrepresentation, or legal requirement. In such cases, the refund amount will be recovered from the Seller's pending payouts or future transactions.
Sellers are liable for chargebacks initiated by customers. things101 may recover chargeback amounts and associated fees from the Seller's Stripe account or future payouts.
Sellers retain ownership of all product images, descriptions, trademarks, and other content they upload to things101 ("Seller Content").
By uploading Seller Content, you grant things101 a non-exclusive, worldwide, royalty-free license to display, reproduce, and distribute the Seller Content for the purpose of operating and promoting the things101 platform, including marketing materials.
The things101 name, logo, platform design, and technology are owned by ZorkaLight LLC. Sellers may not use things101's intellectual property without prior written consent.
Sellers warrant that their Seller Content does not infringe any third-party intellectual property rights. Sellers indemnify things101 against any claims arising from such infringement.
Sellers agree not to disclose any non-public information about things101's technology, pricing strategies, business plans, or other Sellers obtained through use of the platform.
Seller represents and warrants that:
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THINGS101 SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR REVENUE, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THINGS101'S TOTAL LIABILITY TO SELLER FOR ANY CLAIM ARISING UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL PLATFORM FEES PAID BY SELLER TO THINGS101 IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
Seller agrees to indemnify, defend, and hold harmless things101 and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
This Agreement begins when you complete seller onboarding and continues until terminated.
Sellers may terminate this Agreement at any time by closing their account and ceasing to list products. Outstanding orders must be fulfilled prior to termination.
things101 may suspend or terminate a Seller's account immediately, without notice, for:
To keep the marketplace active for customers, Sellers are expected to record at least one completed sale — a paid order that has not been fully refunded or charged back — within any rolling 90-day period. New Sellers are exempt for the first 90 days following their first product activation, allowing time to establish traction.
If no completed sale is recorded within a rolling 90-day period, things101 may notify the Seller and allow a cure period of at least 14 days to record a qualifying sale or respond. If the account remains inactive after the cure period, things101 may, at its discretion, delist the company and set its brands and products to inactive. Delisting for inactivity does not delete the Seller's account or order history; a delisted Seller may request reactivation, and listings can be restored upon return to active status.
Upon termination, Seller's listings will be removed. Outstanding payouts will be processed subject to any holds required to cover pending refunds or disputes.
things101 may modify this Agreement at any time. Sellers will be notified of material changes with at least 30 days' notice via email or platform notification. Continued use of the platform after the effective date constitutes acceptance.
This Agreement is governed by the laws of the State of Florida, without regard to conflict of law principles.
Any dispute arising under this Agreement shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be resolved by binding arbitration in St. Petersburg, Florida, under the rules of the American Arbitration Association.
Sellers waive any right to participate in class action lawsuits or class-wide arbitration against things101.
